1.These Terms and Conditions govern any bid (“Offer”) submitted by the Customer to Ethiopian Airlines Enterprise (“Ethiopian” or “the Airline”) for the opportunity to upgrade from the economy class ticket originally purchased to business class (“Upgrade”).
2.Offers may only be submitted for selected flights operated by the Airline, provided the passenger holds a valid, issued Ethiopian Airlines Economy Class ticket for the applicable flight.
3.All customers submitting an Offer must have reached the legal age of majority in their country of residence. By submitting an Offer, the customer confirm that they have the authority to act for themselves and for anyone included in the Offer, and that all parties agree to be bound by these Terms and Conditions.
4.Only one Offer may be submitted per flight corresponding to a valid Ethiopian Airlines ticket issued on document number beginning with “071.” Offers must be made and paid using a credit card. Minimum start and maximum bid amounts apply as specified by the Airline.
5.When an Offer is submitted in connection with a booking made directly with Ethiopian Airlines or through another channel and presented to the Airline, it entitles the named passenger(s) subject to these Terms and Conditions, to be considered for an Upgrade.
6.If more than one passenger is included in the original flight booking, the upgrade offer applies to each passenger. The total offer amount will be calculated by multiplying per-passenger offer by the total number of passengers in the booking. Before submitting credit card details, the total upgrade amount will be displayed for review.
7.The Airline is under no obligation to accept any Offer and makes no representation that any passenger will be upgraded. Acceptance of an Offer is at the sole discretion of the Airline, based on Business Class seat availability.
8.The Customer must acknowledge and agree that the Offer shall remain open for acceptance by the Airline at any time from twenty-four (24) hours up to three (3) hours prior to the scheduled departure of the flight.
9.The Customer may modify or cancel the Offer at any time until it has been accepted by the Airline, and not later than three (3) hours prior to the scheduled departure. Once the Offer has been accepted, the Customer is legally bound to complete payment for the amount stated in the final Offer and may not withdraw, except as expressly permitted under these Terms and Conditions.
•Tickets not issued on Ethiopian Airlines (ET) stock (i.e., tickets without a 071 prefix).
11.In the event that the Airline cancels a flight and re-accommodates you on another Ethiopian Airlines-operated flight, any offer submitted for the original booking may be transferred to the new flight(s), subject to Business Class seat availability.
12.If an upgrade cannot be accommodated despite prior acceptance, the amount paid for the upgrade will be refunded to the same credit card used for the payment. The refund may be set off against any compensation payable under applicable law.
13.If the Customer’s booking is transferred to a flight operated by an airline other than Ethiopian Airlines, the Airline cannot guarantee an Upgrade to the higher class. In such cases, any amounts paid by the Customer for the Upgrade will be refunded to the credit card used for payment, and the set-off provisions described above shall apply.
14.The Airline may accept the customer’s offer at any time between twenty-four (24) hours and three (3) hours prior to the scheduled flight departure. Upon acceptance, the Customer’s credit card will be charged immediately for the full Upgrade amount. The Airline will then issue an Upgrade for each passenger included in the original booking, and the total amount charged will include all applicable pre-payable taxes and fees.
15.If a customer’s Offer is accepted and an upgrade is issued, but the customer is unable to be seated in the upgraded class due to reasons attributable to the Airline, they are eligible for a refund; however, any circumstances arising from the passenger’s own actions are excluded.

17.Approved refunds will be processed in the same currency used for the upgrade payment. Where a foreign exchange conversion is necessary, a generally accepted prevailing exchange rate will be applied. This rate may be adjusted to account for conversion and administrative charges levied by the Airline. In no circumstance shall the refund exceed the amount originally charged.
18.If the customer previously paid for a seat reservation in Economy Class and their Offer is subsequently accepted, the seat reservation fee will not be refunded.
19.The fare conditions of the customer’s original ticket shall remain applicable even after an accepted Upgrade, including but not limited to rules regarding cancellations, changes, and frequent flyer mile accrual.
20.The Airline does not guarantee any specific seat assignment in the upgraded class.
21.Free baggage allowances are determined per flight segment and are governed by the applicable conditions and limitations for each segment.

N.B Refund requests must be submitted within three (3) months of the flight’s departure date.
23.The Airline may modify these Terms and Conditions at its sole discretion, provided that such changes do not affect material provisions or Offers already accepted. Together with the Airline’s Conditions of Carriage and Privacy Policy, these Terms and Conditions form the entire agreement between the parties and supersede any prior agreements or communications, whether oral or written.
24.The failure of the Airline to exercise any of its rights under these Terms and Conditions shall not constitute a waiver of those rights, nor shall it affect the Airline’s ability to enforce such provisions in the future.
25.These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia. Without prejudice to the customer’s rights under applicable mandatory local laws, any disputes arising from or related to these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of the Federal Democratic Republic of Ethiopia.
